  • Design and implementation of manuals, policies and processes in accordance with the banking law reform and new regulatory environment.

Value Delivered to Client/Outcome

  • Successful development of company that was the most recent start-up to obtain a license from bank regulators.
  • The company operated for 15 additional years until shareholders decided to sell its portfolio.

  • Due diligence of the leasing company, including legal, corporate, financial, operating, environmental and all other relevant aspects.
  • Advisory services to purchaser bank for valuation and negotiation.

  • Successful acquisition of the leasing company and further support as a member of the Board of Directors.
Legal and Advisory Services for Multinational

Background

Project Design

  • Head the multinational’s legal counsel in Latin America and provide permanent advisory, operating and legal counsel in the practice of leasing operations in Argentina, Brazil, Chile, Colombia, Mexico, Puerto Rico and Venezuela.
  • Ensure that policies and processes correspond to best practices within the industry and each country.
  • Support legal and regulatory compliance, risk management, transactional work, delinquency management, asset management and all operating functions within the multinational’s affiliated companies.

Value Delivered to Client/Outcome

  • The corporation has the most robust multinational operation of a leasing company in emerging markets. ROE is consistently between 25-30% p.a.
